M&A: restructuring and forensic advise

  • Consulting in restructuring situations and valuations
  • Professional support in the restructuring and sale of a major European integrated module producer
    Analysis of the business model of a mid-size European module producer and wholesaler for legally required valuation

  • Consulting in litigations
  • Support in the economic and strategic aspects in various cases of fraud in Germany and Italy. The client awards such contracts on an ongoing basis.

  • Valuation and forensic analysis of a portfolio of photovoltaic power plants
  • Due diligence, forensic analysis and indicative valuation of a 100+MW portfolio of photovoltaic power plants in southern Italy for a major international investment bank.
    Following the initial consulting, the customer issued a couple of different engagements.

M&A: due diligence and financing

  • Buy-side advise in renewables
  • Due diligence of an Italian biomass operation for an industrial investor
    Subsequent to the due diligence, INGENTA has been awarded to search for an equity partner, to advise in the bank financing and to issue further updated due diligence reports.

  • Buy-side advise on real estate
  • INGENTA advised on various real estate transactions in Germany. The scope of work included financial due diligences, restructuring concepts and bank financings.
    The investor continuously awards INGENTA new engagements in this field.

  • Full-scope buy-side advise in photovoltaic investments
  • INGENTA received several full scope consulting mandates comprising search for targets, due diligence, structuring, bank financing and supervision of the construction of photovoltaic projects totalling 25MW from various financial and industrial investors.
    The projects were located in Sicily and Central Italy and were connected to the grid under Conto Energia III.

  • Acquisition of various photovoltaic projects and sale of grid connected plants
  • The projects comprised 50+MW of projects in Germany, Spain and Italy, where the team of INGENTA advised in the acquisition of the project rights and the sale of the grid connected power plants.

  • Sell-side advise
  • Sell-side support and advise has been provided for a German mid-size IT system integrator. Based on INGENTA's advise, despite attractive offerings from third parties, one of the existing shareholders took 100% in the company. Since then, it doubled the revenues and may be sold in the future for a substantially increased price.
    The client awarded INGENTA several additional contracts since these days.


  • Development and execution of market entry strategies for major industrial players
  • INGENTA advised first and second tier module suppliers from Germany in entering the Italian market for power plant projects
